These Terms of Use ("Terms") are a legally binding agreement between The Great People Manual LMS ("TGPM," "we," "us," or "our") and any individual or entity that accesses or uses the TGPM Learning Management System, website, applications, or related services (collectively, the "Platform") ("User," "you," or "your").

By accessing, registering for, purchasing from, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms, you must not access or use the Platform.

1. PLATFORM AND SERVICES

TGPM LMS provides a digital learning platform offering online courses, educational content, and related digital materials (collectively, the "Services").

All Services are provided electronically and may include prerecorded content, downloadable materials (where expressly permitted), and platform-based tools.

TGPM reserves the right, at its sole discretion, to modify, update, suspend, or discontinue any portion of the Services at any time without liability.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

To use the Platform, you must:

Have the legal capacity to enter into a binding contract under U.S. law
Provide accurate, current, and complete information during registration

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. TGPM is not liable for any loss or damage arising from unauthorized account use.

3. LICENSE GRANT AND RESTRICTIONS

Subject to your compliance with these Terms, TGPM grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal, personal, or authorized business training purposes.

You may not:

Share, sell, sublicense, distribute, or provide access to any content to third parties
Record, reproduce, copy, scrape, or exploit any content except where expressly permitted
Reverse engineer or attempt to access source code or platform architecture
Use the Services to develop or support competing products or services
Bypass or circumvent security or access controls

All rights not expressly granted are reserved by TGPM.

4. FEES, PAYMENTS, AND TAXES

ALL SALES ARE FINAL – NO REFUNDS

ALL PAYMENTS MADE TO TGPM LMS ARE FINAL.
NO REFUNDS, RETURNS, CREDITS, OR EXCHANGES WILL BE PROVIDED FOR ANY REASON.

This includes, without limitation:

Course purchases
Subscriptions
Bundles
Promotional or discounted offerings
Partial use, non-use, or dissatisfaction with content

By completing a purchase, you expressly waive any right to chargebacks or refunds, except where prohibited by applicable U.S. law.

Payment Authorization and Taxes

You authorize TGPM to charge your selected payment method for all applicable fees, including recurring charges where applicable. You are responsible for all applicable federal, state, and local taxes, including sales or use taxes, unless otherwise stated.

5. ACCESS AND AVAILABILITY

Access to purchased content is provided for the period specified at the time of purchase. Lifetime access is not guaranteed unless explicitly stated in writing.

TGPM may suspend, restrict, or revoke access if you violate these Terms.

6. INTELLECTUAL PROPERTY RIGHTS

All Platform content—including videos, text, graphics, curricula, trademarks, logos, software, and methodologies—is the exclusive property of TGPM or its licensors and is protected by U.S. and international intellectual property laws.

Nothing in these Terms grants you ownership of any intellectual property rights.

7. ACCEPTABLE USE

You agree not to:

Use the Platform for unlawful, fraudulent, or deceptive purposes
Upload viruses, malware, or malicious code
Interfere with system security or platform functionality
Harass, threaten, or abuse other users
Violate any applicable federal, state, or local laws or regulations

TGPM may suspend or terminate access immediately and without notice for violations.

8. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable U.S. law, the platform and services are provided "as is" and "as available."

TGPM disclaims all warranties, express or implied, including but not limited to:

Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy, completeness, or reliability of content
Uninterrupted or error-free operation

TGPM does not guarantee any specific results, outcomes, or certifications.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

TGPM shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data or business opportunities.

TGPM's total aggregate liability shall not exceed the total amount paid by you to TGPM in the twelve (12) months immediately preceding the claim.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless TGPM and its officers, directors, employees, contractors, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including attorneys' fees) arising out of:

Your use or misuse of the Platform
Your violation of these Terms
Your violation of any applicable law or third-party rights

11. TERMINATION

TGPM may suspend or terminate your account at any time, with or without notice, for any violation of these Terms or if continued access poses legal, security, or operational risk.

Upon termination, all licenses granted to you immediately cease. No refunds will be issued.

12. CHANGES TO TERMS

TGPM may update these Terms at any time. Revised Terms will be posted on the Platform and are effective upon posting.

Continued use of the Platform constitutes acceptance of the updated Terms.

13. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law rules.

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration under the Federal Arbitration Act (9 U.S.C. §§ 1–16) or, where arbitration is not permitted, in the state or federal courts located in Delaware.

14. CLASS ACTION WAIVER

To the extent permitted by law, you agree that all disputes shall be brought solely in your individual capacity and not as a plaintiff or class member in any class, collective, or representative action.

15. DMCA COPYRIGHT NOTICE

If you believe that content on the Platform infringes your copyright, please submit a DMCA notice to:

16. GENERAL PROVISIONS

Entire Agreement: These Terms constitute the entire agreement between you and TGPM
Severability: If any provision is held unenforceable, the remaining provisions remain in full force
No Waiver: Failure to enforce any right is not a waiver
Assignment: You may not assign these Terms without TGPM's prior written consent
